Terms of Service
These Terms of Service (hereinafter referred to as "these Terms") set forth the conditions for the use of the "Socionics Membership Service" (hereinafter referred to as "this Service") provided by the Socionics Association of Japan (hereinafter referred to as "the Association"). These Terms apply to all users of this Service. Please read these Terms carefully before using this Service.
Article 1 (Agreement to These Terms)
- 1. These Terms apply to all relationships between the member and the Association regarding the use of this Service.
- 2. Members shall use this Service in accordance with these Terms, and may not use this Service unless they agree to these Terms.
- 3. A service usage agreement (hereinafter referred to as "this Usage Agreement") in accordance with the provisions of these Terms shall be established between the member and the Association at the time the member completes registration after agreeing to these Terms.
Article 2 (Revision and Amendment of These Terms)
- 1. The Association may change the contents of these Terms with prior notice to members.
- 2. If a member continues to use this Service after changes to these Terms (including logging into this Service and viewing information displayed on this Service's website), the Association shall deem that the member has agreed to the revised Terms.
- 3. Members are responsible for checking the latest version of these Terms at any time before using this Service.
Article 3 (Member Registration)
- 1. Users who wish to use this Service shall register as members by agreeing to comply with these Terms and providing information specified by the Association through the method designated by the Association.
- 2. The Association may refuse registration or restrict usage by a member if the member falls under any of the following:
- (1) The applicant is a minor, adult ward, person under curatorship, or person under assistance and has not obtained the consent of a legal representative, guardian, curator, or assistant.
- (2) Any information provided to the Association during registration is false, erroneous, or incomplete.
- (3) The applicant has previously been subject to, or is currently subject to, a suspension of use of this Service.
- (4) The applicant has previously failed to fulfill obligations under this Usage Agreement or any other agreement with the Association, or the Association determines there is a risk of such failure.
- (5) The Association determines that the applicant falls under Article 9, Paragraph 1, Item 9.
- (6) The Association otherwise determines that registration is inappropriate.
Article 4 (Use by Minors)
- 1. Minors shall obtain the consent of a legal representative such as a parent or guardian before applying for registration and using this Service or taking any other actions.
- 2. If a member who was a minor at the time of agreeing to these Terms uses this Service after reaching the age of majority, the member shall be deemed to have ratified all legal acts related to this Service.
Article 5 (Use of This Service)
Members may use this Service within the scope of the purposes set forth in these Terms and in accordance with the methods prescribed by the Association. Other usage methods for this Service shall be as specified at https://socionics.or.jp/.
Article 6 (Account Management)
- 1. Members shall manage and store their user ID and password for this Service (hereinafter referred to as "Account") at their own responsibility, and shall not allow third parties to use, lend, transfer, change the name of, or buy/sell such Account. When the Association confirms a match of the Account, it shall deem that the member registered as the holder of such Account has used this Service.
- 2. The member shall bear responsibility for any damage caused by inadequate management of the Account or use by third parties, and the Association shall bear no responsibility whatsoever.
- 3. If a member becomes aware that their Account has been stolen or is being used by a third party, the member shall immediately notify the Association and follow the Association's instructions.
Article 7 (Handling of Member Information)
- 1. When transmitting information about themselves or other information required by the Association for the use of this Service (hereinafter referred to as "Member Information"), members must provide true and accurate information.
- 2. If there are errors in Member Information or changes occur, members should promptly correct or update the Member Information.
- 3. The Association shall handle Member Information and other information collected from members in connection with the use of this Service appropriately in accordance with the Privacy Policy separately established by the Association, and members shall consent to this.
Article 8 (Prohibited Activities)
Members shall not, by themselves or through third parties, engage in any of the following activities in connection with the use of this Service, nor shall they directly or indirectly cause or facilitate such activities:
- (1) Activities that violate laws or public order and morals
- (2) Activities that induce malfunction of this Service
- (3) Activities that violate laws, court judgments, decisions or orders, or legally binding administrative measures, and activities that promote or may promote such violations
- (4) Reverse assembling, reverse compiling, reverse engineering, or otherwise analyzing the source code of this Service
- (5) Unauthorized access to systems connected to this Service or unauthorized modification or deletion of information stored in the Association's equipment
- (6) Copying, transferring, lending, or modifying this Service
- (7) Impersonating the Association, other members, or other third parties
- (8) Using another member's Account
- (9) Activities contrary to the purpose and intent of these Terms and this Service
- (10) Other activities that the Association deems inappropriate
Article 9 (Measures in Case of Violation)
- 1. If the Association determines that a member falls under or may fall under any of the following items, the Association may, at its discretion and without any notice, take measures such as temporary suspension or restriction of use of this Service, deletion of the Account, or termination of this Usage Agreement (hereinafter referred to as "Suspension of Use, etc.") against such member:
- (1) Violation of any provision of these Terms
- (2) Delay or failure in payment of Service usage fees or other monetary payments to the Association (including cases where credit card payment could not be processed)
- (3) Discovery that any information provided to the Association was false
- (4) Death or receipt of a ruling for commencement of guardianship, curatorship, or assistance
- (5) Discovery that the member is a minor under 20 years of age, adult ward, person under curatorship, or person under assistance without the required consent
- (6) Suspension of payments or insolvency, or filing for commencement of bankruptcy, civil rehabilitation, or similar proceedings
- (7) Failure to respond to inquiries or other communications from the Association within 30 days or another period specified by the Association
- (8) The member has previously been subject to, or is currently subject to, Suspension of Use, etc.
- (9) The Association determines that the member is an anti-social force or is involved with anti-social forces through funding or other means
- (10) The Association determines it is necessary for the operation and maintenance of this Service
- (11) The Association determines that circumstances similar to the preceding items exist
- 2. Even after Suspension of Use, etc., the member shall not be released from any obligations and debts (including but not limited to damages) under this Usage Agreement to the Association and third parties.
- 3. The Association shall bear no responsibility for any damage caused to the member by actions taken under this Article, and may retain and use information obtained about the member even after Suspension of Use, etc.
- 4. If the Association determines that a member falls under or may fall under any of the items in Paragraph 1, or in other cases deemed necessary, the Association may request the member to cease the violating activity, and the member shall comply with such request within the period specified by the Association.
Article 10 (Termination of Use)
Members may terminate their use of this Service by deleting their Account or through other methods prescribed by the Association. Members who terminate their use shall be unable to use this Service from the time of termination.
Article 11 (Changes, Interruption, and Termination of This Service)
- 1. The Association may change or add to all or part of the contents of this Service without prior notice to members.
- 2. The Association may terminate this Service at its discretion by notifying members in advance through posting on this Service or other methods the Association deems appropriate. However, in emergencies, the Association may terminate this Service at its discretion without notifying members.
- 3. The Association may temporarily suspend all or part of this Service without prior notice to members if any of the following events occur:
- (1) Regular or emergency maintenance or repair of communication equipment related to this Service
- (2) System overload due to excessive access or other unforeseen factors
- (3) The need to ensure member security arises
- (4) Telecommunications carrier services are not provided
- (5) Provision of this Service becomes difficult due to force majeure such as natural disasters
- (6) Provision of this Service becomes difficult due to fire, power outage, other unforeseen accidents, war, conflict, civil unrest, riots, labor disputes, etc.
- (7) Operation of this Service becomes impossible due to laws or measures based thereon
- (8) The Association otherwise determines it necessary
- 4. The Association shall bear no responsibility for any damage caused to members by measures taken under this Article.
Article 12 (Damages)
- 1. If the Association suffers direct or indirect damage due to a member's violation of these Terms or use of this Service (including cases where the Association receives claims for damages or other claims from third parties as a result of such actions), the member must compensate the Association for all such damages (including professional fees such as attorney fees and personnel costs incurred by the Association in responding).
- 2. The Association shall bear no responsibility for any damage suffered by members in connection with the use of this Service. However, if this Usage Agreement constitutes a consumer contract, the Association shall compensate only for ordinary damages caused to the member by the Association's negligence (excluding gross negligence), up to the total amount of product fees received by the Association at the time of the member's claim, and shall not be liable for lost profits or other special damages.
Article 13 (Disclaimer of Warranty and Limitation of Liability)
- 1. The Association makes no warranties whatsoever, except as set forth in these Terms, regarding the suitability of products, this Service, or any other information displayed on this Service for the member's specific purposes, commercial value, accuracy, usefulness, completeness, legality, conformity with internal rules of organizations applicable to the member, or the absence of security defects, errors, bugs, or defects, or non-infringement of third-party rights.
- 2. The Association does not warrant that this Service is compatible with all information devices, and members acknowledge in advance that updates to the OS of devices used for this Service may cause malfunctions. The Association does not warrant that such malfunctions will be resolved by program modifications or other actions taken by the Association.
Article 14 (Prohibition of Assignment of Rights and Obligations)
- 1. Without prior written consent of the Association, members may not transfer, succeed, provide as security, or otherwise dispose of any rights or obligations under this Usage Agreement, or their contractual status, to any third party.
- 2. If the Association transfers the business related to this Service to a third party, or if the Association becomes the dissolving company or splitting company in a merger or company split and has the business related to this Service succeed comprehensively, the Association may transfer its contractual status, rights and obligations under this Usage Agreement, and Member Information and other member-related information to the transferee or successor, and members consent to this in advance.
Article 15 (Severability)
- 1. Even if any provision or part thereof of these Terms is determined to be invalid or unenforceable under the Consumer Contract Act or other laws, the remaining portions shall continue to be fully effective. The Association and members shall endeavor to modify the invalid or unenforceable portion to the extent necessary to make it lawful and enforceable, and to secure the same legal and economic effect as the original intent.
- 2. Even if any provision or part thereof of these Terms is determined to be invalid or unenforceable in relation to a particular member, such determination shall not affect its validity in relation to other members.
Article 16 (Governing Law and Jurisdiction)
These Terms shall be governed by Japanese law, and any and all disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
